Terms of Service

1. Acceptance of Terms

By accessing or using the website blueridge-us.com (the “Site”) or any services provided by Blue Ridge Security (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Site or our services.

2. Description of Services

Blue Ridge Security provides cybersecurity, managed IT, network security, infrastructure, business automation, custom web development, and related technology services to businesses in the Tri-Cities, TN area and beyond. Specific services, deliverables, timelines, and pricing are defined in individual service agreements or statements of work (SOW) between you and the Company.

3. Use of the Website

3.1 Permitted Use

You may access and use the Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates applicable federal, state, or local laws or regulations
  • Attempt to gain unauthorized access to the Site, servers, or networks connected to the Site
  • Introduce malware, viruses, or other harmful code to the Site
  • Scrape, mine, or otherwise extract data from the Site without our prior written consent
  • Interfere with or disrupt the Site or the servers and networks connected to the Site
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

3.2 Account Security

If you are provided with login credentials for any of our client portals or services, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

4. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, software, and code, is the property of Blue Ridge Security or its content suppliers and is protected by United States and international intellectual property laws.

  • You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from the Site without our prior written consent.
  • The “Blue Ridge Security,” “Guardian,” and “BlueHook” names, logos, and related trademarks are the property of Blue Ridge Security. You may not use them without our written permission.

5. Service Agreements

These Terms govern your use of the Site. Any cybersecurity, IT, or other professional services we provide are governed by separate service agreements, statements of work, or master service agreements (MSAs) that you will sign before services begin. In the event of a conflict between these Terms and a signed service agreement, the service agreement will prevail.

6. Payment Terms

If applicable, payment terms for services are specified in your individual service agreement or invoice. General payment conditions:

  • All invoices are due within 30 days of the invoice date unless otherwise specified
  • Late payments may incur a late fee of 1.5% per month on the outstanding balance
  • We reserve the right to suspend services for accounts with outstanding balances exceeding 60 days
  • All fees are quoted in U.S. Dollars (USD)

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of our business relationship. This includes, but is not limited to, security assessment findings, network diagrams, vulnerability reports, and business data. Confidentiality obligations survive the termination of any agreement.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Blue Ridge Security provides the Site and its content on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
  • We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
  • In no event shall Blue Ridge Security, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our services.
  • Our total liability for any claim arising from these Terms or the Site shall not exceed the amount paid by you, if any, for accessing the Site during the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Blue Ridge Security and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.

10. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by Blue Ridge Security. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites.

11. Termination

We reserve the right to terminate or suspend your access to the Site, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Site will immediately cease.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Sullivan County, Tennessee.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Site after any modifications constitutes your acceptance of the updated Terms.
